Ratioed lets people back one side of a battle between an X post and a reply to it, using SOL, through a smart contract on Solana. These Terms set the rules, including real risks of losing money. Please read them, especially Eligibility, Risks and Limitation of liability.
01Agreement
These Terms of Service ("Terms") are an agreement between you and [Company legal name] ("Ratioed", "we", "us") about your use of the Ratioed website, the @ratioed bot on X, our APIs, and the interfaces we provide to the Ratioed on-chain program (together, the "Service").
By signing in, linking a wallet, placing a bet, creating a battle, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
Our docs explain how the Service works in more detail. If the docs and these Terms conflict, these Terms control. For how funds move, the deployed on-chain program controls.
02Eligibility and restricted regions
You may use the Service only if all of the following are true:
- You are at least 18 years old and old enough to enter a binding contract where you live.
- You are not located in, a resident of, or organized in any region where we restrict access ([Restricted jurisdictions list]), or anywhere that predictions, wagering, or contests of this type are illegal.
- You are not on any sanctions list and not acting for anyone who is, and you are not in a comprehensively sanctioned country or territory.
- You have not previously been banned from the Service.
We block betting from some regions using location signals provided by our hosting infrastructure. You must not use a VPN, proxy or other method to get around those restrictions. Geoblocking is imperfect: you alone are responsible for knowing and following the laws that apply to you, including any law on gambling, betting, prediction markets, digital assets and taxes. The fact that the Service is reachable from your location does not mean it is legal there.
03Accounts and wallets
- Sign in with X. To bet or appear on leaderboards you must sign in with an X account you control. We use it to identify you and enforce these Terms. We request read-only access and never post as you.
- Linked wallets. You link a Solana wallet by signing a message. A wallet can be linked to only one X account. You may link more than one wallet to your X account. You must only link wallets you own and control.
- One person, one identity. You may not use more than one X account to access the Service, or let others use your account or wallets.
- Your keys, your responsibility. You are solely responsible for your wallet, seed phrase and devices. We cannot recover lost keys or reverse transactions.
04Non-custodial service
Ratioed is non-custodial. We never hold your private keys or take possession of your SOL. Bets are sent from your wallet, signed by you, to a smart contract (the "Program") on the Solana blockchain, which holds each battle's pot in its own on-chain account and pays out according to its code. Claims and refunds are sent from the Program to your wallet when you sign a claim transaction.
Our servers co-sign bets after checking eligibility, and an operator-controlled "oracle" key reports results to the Program. Neither key can move your funds to us or to anyone else outside the Program's rules, except that the Program allows an administrator to (a) pause new activity, (b) void a battle before it is final, which makes every bet refundable, and (c) move funds left unclaimed after 30 days to the protocol treasury (see Claims).
05Battles, bets and settlement
- Battles. A battle is created when someone tags @ratioed in a reply on X and the battle meets our eligibility rules. We may decline to create, or may void, any battle at our discretion.
- Bets are final. Bets are buy-only. Once your transaction is confirmed it can't be cancelled, sold, transferred or withdrawn, except through a refund if the battle is voided. Your bet buys shares at a price that rises as more SOL is bet on that side; the number of shares you get depends on bets placed before yours, and may differ from the quote within the slippage limit you accept.
- Timing. Betting locks 22 hours after a battle opens. Results are computed about 24 hours after it opens, using the published scoring formula applied to metrics we obtain from X.
- Our determination. The oracle's reading of X metrics at settlement, as committed on-chain together with the hash of the published snapshot, is the sole basis for the result. It may differ from numbers you see on X at another time or in another view. We do not re-settle a battle because of later changes to metrics on X.
- Finality. Settlement is automatic. Once a result is written on-chain the battle finalizes and claims open; the winner can't be changed afterwards. Before settlement we may void a battle if we believe it was manipulated or its data is wrong.
- Spike flags. Battles with suspicious engagement are flagged publicly on the battle page. Flagged battles settle automatically like any other unless we void them before settlement, which we may do in our sole discretion.
- Finality. Once a battle is finalized on-chain, the result is final and binding. We cannot and will not reverse it.
- Voids and refunds. A voided battle refunds 100% of the SOL each position put in, with no fees. Battles void on a tie, insufficient activity, a deleted or unavailable post, a one-sided pot, or our decision (for example after spike review, an opt-out request, a bug or another integrity problem). Network fees and rent you paid to Solana are not refunded by us, although closing a position returns its rent deposit.
06Fees
When a battle ends with a winner, the Program takes 3% of the total pot as a protocol fee (sent to the protocol treasury) and 1% as a creator fee (claimable by the battle's creator). The remaining 96% is split among holders of winning shares in proportion to their shares, rounded down. Voided battles pay no fees. You also pay Solana network fees for your own transactions.
Fee rates are fixed per battle when it is created. We may change rates for future battles by updating the Program configuration and these Terms.
07Claims and unclaimed funds
Payouts, refunds and creator fees are not sent automatically: you must claim them from the wallet that placed the bet (or, for creator fees, the wallet linked to the creator's X account). You should claim within 30 days of settlement. After 30 days the Program permits an administrator to sweep any remaining balance of a battle to the protocol treasury, after which it can no longer be claimed. We may choose not to sweep, but you should not rely on that.
08Risks you accept
Using the Service is risky. By using it you acknowledge and accept, among others, these risks:
- Total loss. If the side you back loses, you lose your entire bet. Only bet what you can afford to lose.
- Smart contract risk. The Program may contain bugs or vulnerabilities, could be exploited, or could behave in unexpected ways, which may result in loss or locking of funds. It may be upgraded by its upgrade authority.
- Oracle and data risk. Results depend on engagement data from X and on our oracle reporting it correctly. Data from X can be delayed, wrong, revised, or inconsistent with what you see; our systems can fail; and the oracle key could be compromised. Mitigations (the published snapshot and admin pause) reduce but do not remove this risk.
- X API availability. X may change, restrict, price or shut off the API we depend on, or suspend our bot. This could delay or prevent battles from being created or settled, and may cause battles to be voided.
- Manipulation. Other people may try to influence engagement on a post. Our spike detection and review are discretionary and may not catch every case or may flag legitimate activity.
- Blockchain risk. Solana can suffer congestion, outages, forks or fee spikes. Transactions can fail or land later than expected (for example after betting locks). Transactions are irreversible.
- Wallet risk. Loss or theft of keys, malicious browser extensions, phishing sites, and wallet software bugs can cost you your funds. Always check you are on our genuine site.
- Regulatory risk. Laws on betting, prediction markets and digital assets are changing. We may have to restrict, change or stop the Service in some places or entirely, which could affect open battles.
- Price risk. SOL and $RATIOED prices are volatile. Amounts are in SOL; their value in any currency can fall.
09No financial advice
Nothing on the Service (including scores, odds, quotes, leaderboards, docs, posts by @ratioed, or anything about $RATIOED) is financial, investment, legal or tax advice, or a recommendation to bet. Estimated payouts are illustrations based on current state and will change. You make your own decisions and are responsible for them.
10Prohibited conduct
You agree not to:
- Manipulate engagement on any post in a battle, including buying or selling likes, reposts, quotes, replies or views, using bots, engagement pods or coordinated inauthentic activity, or asking others to do so.
- Bet on a battle in which you wrote the original or the reply, or bet on behalf of someone who did.
- Use multiple X accounts, share accounts, or use wallets controlled by others (multi-accounting), or try to evade a ban or limit.
- Exploit bugs, errors, pricing or timing issues, or vulnerabilities in the Service or the Program, instead of reporting them to us. (We welcome good-faith reports at [Contact email].)
- Get around geoblocking, rate limits, eligibility checks or bet limits.
- Attack, overload, scrape at abusive rates, or interfere with the Service, the bot, or other users.
- Use the Service for money laundering, terrorist financing, fraud, or any other illegal purpose.
- Create battles to harass, threaten or target people, or that promote illegal content.
- Impersonate anyone or misrepresent your affiliation with anyone, including Ratioed.
If we reasonably believe you have broken these rules, we may ban your X account from the Service, refuse to co-sign your bets, void affected battles, and report you to authorities. Because funds sit in the Program, we cannot confiscate them; voiding a battle refunds every bettor, including you.
11People whose posts are battled
Battles use posts that are publicly available on X. Being battled does not mean you endorse Ratioed. If you don't want your posts used, you can opt out by DMing @ratioed on X or emailing [Contact email]. We will add your X account to our blocklist so new battles involving you are not created, and on request we can void open battles involving you (which refunds all bettors). We skip posts from protected accounts.
Authors of battled posts may not bet on those battles.
12$RATIOED token
$RATIOED is a token that trades on third-party venues. Ratioed uses some or all of the protocol fee to buy $RATIOED and burn it. Please understand:
- We make no promise that $RATIOED has or will have any value, liquidity or price.
- Buybacks and burns are discretionary. Their size, frequency and method may change, pause or stop at any time.
- Holding $RATIOED gives you no ownership, equity, governance, profit share, or claim on the treasury, the Program, the pot or Ratioed's revenue, and is not required to use the Service.
- Nothing we say about $RATIOED is an offer or solicitation to buy or sell anything.
13Content and intellectual property
The Service, including our software (other than open-source components), design, logos, mascot and the Ratioed name, is owned by us or our licensors. We grant you a personal, revocable, non-exclusive, non-transferable license to use the Service as allowed by these Terms.
Posts, names, handles and avatars from X belong to their respective owners and are shown as provided by X under X's terms. If you believe content on the Service infringes your rights, contact [Contact email].
If you send us feedback or suggestions, we may use them without obligation to you.
14Third parties; not affiliated with X
Ratioed is not affiliated with, endorsed by, or sponsored by X Corp. "X" and related marks are trademarks of their owners. Ratioed is also independent of Solana, wallet providers, pump.fun and other third parties.
The Service relies on third-party services such as X, Solana RPC providers, wallets, hosting and infrastructure providers. We are not responsible for them, and your use of them is governed by their own terms.
15Taxes
You are responsible for determining and paying any taxes on your bets, winnings and token transactions, and for any reporting obligations.
16Disclaimers
THE SERVICE AND THE PROGRAM ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT DATA FROM X, SCORES OR RESULTS WILL BE ACCURATE OR TIMELY. Some jurisdictions do not allow some of these exclusions, so some may not apply to you.
17Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RATIOED AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DIGITAL ASSETS, LOST DATA OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SERVICE OR THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE PROTOCOL FEES ATTRIBUTABLE TO YOUR OWN BETS IN THE 3 MONTHS BEFORE THE CLAIM AROSE, OR (B) [Liability cap amount].
Nothing in these Terms limits liability that cannot be limited by law.
18Indemnity
You will defend, indemnify and hold us harmless from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law or third-party right, or your misuse of the Service.
19Suspension and termination
We may suspend or end your access to all or part of the Service at any time, with or without notice, including if we suspect a breach of these Terms or if required by law. We may also pause the Program, stop creating battles, or shut down the Service.
Because the Service is non-custodial, termination does not take your funds: you can still claim any payout or refund from the Program, subject to the 30-day policy above, using our site while it is available or any other compatible interface. You may stop using the Service at any time and can ask us to delete your account (see the Privacy Policy).
Sections that by their nature should survive termination (for example risks, disclaimers, liability and disputes) survive.
20Changes to these Terms
We may update these Terms. We will post the new version here with a new effective date and, for material changes, give notice on the site. Changes apply from the effective date and do not change the rules of a battle that was already open. Continuing to use the Service after a change means you accept it.
21Governing law and disputes
These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-laws rules. Disputes will be resolved [Dispute resolution mechanism, e.g. courts or arbitration seated in [Jurisdiction]]. [Class action waiver, if any, to be confirmed by counsel.]
22General
These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part is unenforceable, the rest stays in effect. Our not enforcing a right is not a waiver. You may not transfer your rights under these Terms; we may transfer ours, for example in a merger or sale.
